Hilton Domestic Operating Company Inc. Announces Extension of Exchange Offer

MCLEAN, Va. - Hilton Domestic Operating Company Inc. (“HOC”), an indirect subsidiary of Hilton Worldwide Holdings Inc., announced today that it has extended the expiration date of its offer to exchange up to $1,000,000,000 aggregate principal amount of HOC’s 4.875% Senior Notes due 2030, which have been registered under the Securities Act of 1933, as amended, for any and all of HOC’s outstanding unregistered 4.875% Senior Notes due 2030 issued on June 20, 2019.
The exchange offer was originally scheduled to expire at 5:00 p.m. (New York City time) on Monday, November 4, 2019, but will now expire at 5:00 p.m. (New York City time) on Friday, November 8, 2019. As of the close of business on November 4, 2019, $979,976,000 in aggregate principal amount, or approximately 98%, of the outstanding unregistered 4.875% Senior Notes due 2030 had been validly tendered to the exchange agent by the holders thereof. The extension is intended to allow additional time for holders of the remaining outstanding unregistered notes to tender their notes in the exchange offer.
